These Terms of Service ("Terms") are a contract between you and PR Distribution, located at 2925 Richmond Avenue, Suite 1200, Houston, TX 77098 ("we", "us"). By creating an account, purchasing distribution, or using any tool on prdistribution.co, you agree to them. They're written in plain English on purpose — but they're still binding.

1. Who We Are & What We Provide

PR Distribution operates a press release publishing network and related software:

• Distribution packages
• Individual outlet placements
• White-label reseller accounts
• A REST API
• AI-assisted editorial tools

We are a publisher and distributor of the content you submit — not the author of your claims, and not your legal or investment adviser.

2. Accounts

• You must provide accurate information and keep your credentials secure. Actions taken through your account are yours.
• One free-tier account per person or organization. Duplicate free accounts may be merged or closed.
• You must be at least 18 and able to form a binding contract.

3. Services & Turnaround

• Distribution begins 0–30 minutes after editorial approval; most releases are fully propagated within hours. Premium outlets carry their own published turnarounds (typically 5–48 hours).
• Outlet networks evolve. Named outlets in packages are honored per order; the broader network composition may change over time.
• "Guaranteed placement" means publish-or-refund as described in Section 6 — it does not mean editorial coverage, journalist interviews or specific traffic outcomes.

4. Editorial Guidelines & Content Standards

Every submission passes AI checks and human editorial review.

To be accepted, a release must:

• Be 300–1,500 words, with a headline of 5–200 characters (minimum 5 words);
• Contain at most 5 hyperlinks, 5 images and 1 embedded video;
• Be written as news (third person, AP-style conventions), not as an advertisement;
• Contain no illegal content, defamation, hate speech, plagiarism, or unverifiable medical, financial or earnings claims;
• For regulated niches (crypto, iGaming, CBD): use the designated niche network and comply with applicable law in your jurisdiction.

We may reject, edit for formatting, or request changes to any submission.

Repeated attempts to bypass editorial review are grounds for termination.

5. Prohibited Uses

• Impersonation of any person or organization, or unauthorized use of third-party brands and quotes;
• Market manipulation, pump-and-dump promotion, or securities-fraud-adjacent content;
• Malware, phishing, link farms, or attempts to abuse the network for pure link schemes;
• Scraping, reverse engineering, or overloading the platform or API beyond documented limits.

6. Payments, Credits & Refunds

• Prices are in USD. Payment is due before distribution begins.
• Reseller credits never expire and are spendable on any retail package or outlet at 1 credit = $1 retail value.
• If we fail to publish your release, you choose: full refund to the original payment method, or account credits.
• Once a release is published, fees are non-refundable (the service has been rendered). Rejection-cover terms on premium outlets (e.g. partial refund or free rewrite) are stated on the package at purchase.

7. Your Content & License

You keep ownership of your press releases.

You grant us a worldwide, non-exclusive license — that's literally the service — to do the following across our network and partner outlets:

• Host them
• Reproduce them
• Format them
• Distribute them
• Syndicate them

You warrant that you have the rights to everything you submit, including images, quotes and logos.

8. White-Label & Reseller Terms

• Reseller reports, portals and communications carry your brand; a small set of premium outlets may display a publisher byline, flagged before purchase.
• You are responsible for your end-clients' content complying with Section 4, and for your own client billing, support and legal relationships.
• Wholesale rates and API access may be adjusted with 30 days' notice; already-purchased credits keep their purchase terms.

9. AI Tools Disclaimer

The free AI tools (writer, headline generator, guidelines review, SEO analysis) produce drafts and assessments, not guarantees.

Outputs may contain errors — verify facts, names and figures before publishing anywhere.

Tool usage is limited (currently 3 runs per tool per session) and may be throttled to keep the service free.

10. Analytics & Reports

Domain Rating, traffic figures and readership metrics shown on our site and in reports come from third-party SEO data providers and are estimates updated periodically.

Live placement URLs in your report are the authoritative proof of distribution.

11. Disclaimers & Limitation of Liability

The service is provided "as is."

To the maximum extent permitted by law, we disclaim implied warranties and are not liable for indirect, incidental or consequential damages, lost profits or lost data.

Our total liability for any claim is capped at the amount you paid us in the 12 months before the event giving rise to the claim.

12. Termination

You can close your account anytime.

We may suspend or terminate accounts that violate these Terms; unused paid credits on non-violating accounts are refunded on request at their purchase value.

13. Governing Law

These Terms are governed by the laws of the State of Texas, USA.

Exclusive venue for disputes is the state and federal courts of Harris County, Texas.

14. Changes

We may update these Terms.

Material changes are announced by email or site notice 14 days before they take effect; continued use after that constitutes acceptance.
